Welcome to NetGram Labs ("Company", "we", "our", or "us"). These Terms & Conditions govern your access to and use of our website (netgramlabs.com), digital products, web development services, AI automation systems, software solutions, and consulting engagements.

By accessing our website or contracting our services, you agree to be bound by these Terms. If you do not agree to these terms, please do not use our services or platforms.

1. Services & Engagements

NetGram Labs specializes in:

• Custom Web & Software Development: High-performance websites, web applications, frontend/backend engineering, API integrations, and WordPress development.
• AI Automation & Workflow Solutions: Custom AI agents, process automation, workflow integrations, and automated lead intelligence.
• Digital Marketing & SEO: Search engine optimization, conversion rate optimization, digital performance strategy, and content marketing.
• Technology Training & Educational Platforms: Developer learning tracks, interactive coding environments, and technical workshops.

All specific project engagements will be outlined in a written proposal, scope of work (SOW), or project brief mutually agreed upon prior to project kickoff.

2. Client Responsibilities

To ensure project success and timely delivery, clients agree to:

• Provide accurate, complete project requirements, assets, brand guidelines, and third-party credentials in a timely manner.
• Review sprint deliverables, prototypes, and milestones within the agreed-upon review window.
• Designate a primary point of contact authorized to make binding design and technical approvals.

3. Payment Terms & Milestone Invoicing

• Deposit & Milestone Payments: Project work commences upon receipt of the agreed initial milestone deposit. Subsequent payments are billed upon completion of designated project milestones.
• Invoices: Invoices are due within the payment terms specified on the invoice (typically net 7 or net 14 days).
• Late Payments: Unpaid balances beyond the due date may pause ongoing development sprints and delivery timelines until settled.

4. Intellectual Property & Ownership

• Client Deliverables: Upon receipt of full and final payment, all custom code, graphical designs, database schemas, and digital deliverables created specifically for the client become the sole property of the client.
• Pre-Existing Studio Frameworks: NetGram Labs retains ownership of its proprietary pre-existing utility libraries, baseline developer boilerplates, and reusable open-source modules integrated into the solution under standard permissive open-source licenses.
• Portfolio Rights: Unless governed by a formal non-disclosure agreement (NDA), NetGram Labs reserves the right to showcase the completed work in our digital portfolio, case studies, and client showcase.

5. Revisions, Scope Changes & Support

• Standard Revisions: Each project milestone includes the agreed number of iterative review rounds specified in the project scope.
• Out-of-Scope Requests: Significant modifications, feature additions, or architectural changes outside the signed scope will be estimated separately under a change order.
• Post-Launch Warranty: We provide a 30-day post-launch warranty period to resolve any bugs or defects resulting from our codebase at no additional cost. Ongoing maintenance and SLA support are available under dedicated retainer agreements.

6. Limitation of Liability

NetGram Labs strives for 100% engineering precision and uptime. However, to the maximum extent permitted by applicable law:

• In no event shall NetGram Labs be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.
• Our total aggregate liability arising out of or related to any project engagement shall not exceed the total fees paid by the client under the specific project agreement.

7. Termination & Cancellation

Either party may terminate a project agreement upon written notice if the other party breaches a material term and fails to cure such breach within 14 days. In the event of early termination, the client shall pay for all hours worked and milestones completed up to the date of termination.

8. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Jodhpur, Rajasthan, India.
